We are an owner, operator and manager of nursery centers in the United Kingdom, operating under nine brands. Our company is headquartered in London, England, established in 2023 through the merger of two well-known nursery groups, Bambinos and The Nursery Family. Since our incorporation and our combination with Bambinos and acquisition of The Nursery Family, we have completed six acquisitions (comprising a total of 10 nursery centers) in the United Kingdom. We have a track record of making acquisitions that we carefully and efficiently integrate into our infrastructure, supplemented by organic growth. We provide high-quality care and education to children from three months to five years of age. We currently operate 24 nursery centers with a combined total capacity of 1,280 children at one time. Each of our nursery centers holds its own Ofsted registration and delivers services in accordance with our operational, safeguarding, and quality standards. We also own a minority equity interest in DPS Education Limited, which operates a specialist educational needs and disabilities (SEND) school in Lincolnshire, England. We are positioned as a mid-sized provider within the UK education sector, between large corporate chains and small independent providers. We combine the strengths of a national provider, including shared centralized support services covering quality assurance and curriculum oversight, HR and recruitment support, safeguarding and compliance monitoring, marketing and occupancy management, finance and payroll, and operational planning, with the personal, community-focused culture of a small independent nursery. This hybrid model allows us to deliver high professional standards and scalability, without compromising the local authenticity and family-level trust that underpin parent choices for early years education. Our leadership approach is hands-on and present, enabling us to maintain a consistent quality culture while respecting the individual character of each nursery center. We maintain strong respect for the individual identity, history, and best practices of each center, recognizing that community identity and trust are critical in the UK early years education market. Our motto, “Because We Care,” reflects both our commitment to care and our broader belief in creating nurturing environments for children to grow. While our core business currently focuses on early childhood education, as part of our growth strategy we intend to expand into areas such as specialist education and online tutoring for young people. We seek to foster the holistic development of children by providing a diverse range of high-quality educational services, and our vision is to create a leading integrated education group and recognized education brand. Our company is incorporated under the laws of England and Wales. We operate through eight subsidiaries, seven of which are wholly-owned and one of which is 80% owned. We have also recently established a 95%-owned subsidiary in Australia which has no operations as of the date of this prospectus. --- We are a public company with limited liability incorporated pursuant to the laws of England and Wales on May 9, 2023. We are registered with the Registrar of Companies in England and Wales under number 14857880. On August 3, 2026, iStep Learning Limited re-registered as a public limited company and changed its name to iStep Learning plc. Special resolutions were passed by the shareholders of iStep Learning Limited to approve the re-registration as a public limited company, the name change to iStep Learning plc and the adoption of new articles of association for iStep Learning plc appropriate for a public company.
